1. Who you are contracting with

Pairled is provided by R8 Tech (trading as "Pairled"). By creating an account or using the service, you agree to these Terms. If you are using Pairled on behalf of an organization, you confirm you have authority to bind that organization.

2. The service

Pairled is an AI-powered partnership intelligence platform that generates company evaluations, partner briefs, and suggestions. Outputs are generated by AI models and may be inaccurate or incomplete — you are responsible for reviewing and verifying outputs before acting on them.

3. Acceptable use

You agree not to:

• Use the service for unlawful, fraudulent, or harmful purposes.
• Send spam, malware, or attempt to compromise the security of the service (including probing, scanning, or scraping).
• Infringe the intellectual property or privacy rights of others.
• Use outputs to generate illegal content, harassment, hate speech, deepfakes, or for jailbreaking the underlying models.
• Reverse engineer, resell, or redistribute the service or its outputs in violation of these Terms.

You are responsible for the prompts and inputs you submit, for verifying outputs before relying on them, and for ensuring you have the rights to any content you input. Pairled outputs are not legal, financial, investment, or tax advice.

4. Accounts

You must provide accurate information, keep it up to date, and keep your credentials confidential. You are responsible for activity under your account.

5. Intellectual property

R8 Tech retains all rights, title, and interest in the Pairled service, software, documentation, and branding. We grant you a limited, non-exclusive, non-transferable right to use the service in accordance with these Terms and your chosen plan.

6. Payments, subscriptions, and refunds

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, taxes, cancellation, and refund mechanics are governed by Paddle's Checkout Buyer Terms and our Refund Policy.

7. Service level and warranties

We work hard to keep Pairled available, but do not guarantee uninterrupted or error-free performance. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

8. Suspension and termination

We may suspend or terminate your access for material breach of these Terms, non-payment, security or fraud risk, or repeated/serious policy violations. On termination, your right to use the service ends, and we may delete account data after a reasonable export window.

9. Liability

To the fullest extent permitted by law, our aggregate liability under these Terms is capped at the fees you paid in the 12 months preceding the claim. We are not liable for indirect, consequential, or special damages including loss of profits, data, or goodwill. Nothing in these Terms limits liability for fraud, death, or personal injury where required by law.

10. Indemnity

You agree to indemnify R8 Tech against claims arising from your content, your unlawful use of the service, or your violation of these Terms.

11. Changes

We may update these Terms from time to time. Continued use after changes means you accept the updated Terms.

12. Governing law

These Terms are governed by the laws of the jurisdiction in which R8 Tech is established. Disputes will be handled in the competent courts of that jurisdiction.
